On the Oracle site, we read the following :

"On April 20, 2009, Oracle announced it has entered into an agreement to acquire Sun Microsystems (Sun). The proposed transaction is subject to Sun stockholder approval, certain regulatory approvals and customary closing conditions. Until the deal closes, each company will continue to operate independently, and it is business as usual.

The acquisition combines best-in-class enterprise software and mission-critical computing systems. Oracle plans to engineer and deliver an integrated system—applications to disk—where all the pieces fit and work together so customers do not have to do it themselves. Customers benefit as their system integration costs go down while system performance, reliability and security go up."

And on the SUN Microsystems site, the information has been confirmed :

" SANTA CLARA, Calif., April 20, 2009 -- Sun Microsystems (NASDAQ: JAVA) and Oracle Corporation (NASDAQ: ORCL) announced today they have entered into a definitive agreement under which Oracle will acquire Sun common stock for $9.50 per share in cash. The transaction is valued at approximately $7.4 billion, or $5.6 billion net of Sun's cash and debt.

"We expect this acquisition to be accretive to Oracle's earnings by at least 15 cents on a non-GAAP basis in the first full year after closing. We estimate that the acquired business will contribute over $1.5 billion to Oracle's non-GAAP operating profit in the first year, increasing to over $2 billion in the second year. This would make the Sun acquisition more profitable in per share contribution in the first year than we had planned for the acquisitions of BEA, PeopleSoft and Siebel combined," said Oracle President Safra Catz.

"The acquisition of Sun transforms the IT industry, combining best-in-class enterprise software and mission-critical computing systems," said Oracle CEO Larry Ellison. "Oracle will be the only company that can engineer an integrated system - applications to disk - where all the pieces fit and work together so customers do not have to do it themselves. Les rumeurs qui circulaient depuis un bon moment dans le monde de la finance sont devenues réalité : Oracle achète SUN Microsystems.

Aux dépêches du Nasdaq de ce matin, on lit que Oracle s'est offert Sun Microsytems pour sept milliards de dollars; soit 9,50 dollars par action. Vendredi dernier, les discussions précédemment engagées entre Sun et IBM ont échoué : selon des proches du dossier, Sun avait refusé une offre d'IBM de 9,40 dollars par action.

The Lehman Brothers Bank Bankruptcy : The fall of the non universal banks

Lehman Brothers Holdings Inc has tapped bankruptcy expert Harvey Miller of Weil, Gotshal & Manges LLP to help carry out its possible liquidation, the Wall Street Journal said.
Lehman's relationship with New York-based Weil goes back some three decades, and the firm has advised the bank on numerous deals, from mortgage securitizations to private-equity buyouts to telecom mergers, the paper said.
Miller led the bankruptcies of Texaco Inc and Continental Airlines Inc, as well as the 1990 filing of Drexel Burnham Lambert Inc, the last major investment bank to file for bankruptcy protection, the Journal said.
Although Lehman filed for Chapter 11 bankruptcy protection on Monday, several lawyers told the paper they suspected the bank's holding company would ultimately liquidate, after selling off what it could.
Lehman and Miller could not be immediately reached for comment.

Une Méga introduction en bourse s'effectuera au court des prochains jours. Le groupe de Abdelwaheb Ben Ayed procèdera prochainement à une entrée en Bourse pour l'ensemble de ses sociétés (il y est déjà présent via la valeur ElMazra). La holding Poulina (formée de six mini holdings couvrant les secteurs aviculture, agrobusiness, industrie, emballage, céramique et BTP) a confié le pilotage de l'action à Tunisie Valeurs et Ernst & Young (dirrigée par Noureddine Hajji). Afin de vendre mieux cette opération de taille, on entend parler de road show organisés et /ou àorganiser à Paris, New York et à Johensburg. (à suivre...)

La Tunisie Abritera-t-elle le siège futur de la scrétariat de l'UM

La France souhaite que le secrétariat de la future Union pour la Méditerranée ait son siège sur la rive sud. La Tunisie se présente comme un candidat sérieux pour abriter le dit siège pour plus qu'un titre. Nicolas Sarkozy qui est en visite d'Etat aujourd'hui et demain en Tunisie pour promouvoir son projet UPM pourrait annoncer une telle nouvelle (La France voulait que le siège serait dans un pays de la rive sud et ce contrairement à la volenté de la Commission européenne qui milite pour que le secrétariat de la future UPM soit à Bruxelles). L'Elysée affirme que c'est aux pays de la rive sud de se mettre d'accord entre eux quant au choix du pays. Mais la Tunisie paraît la mieux placée, à la fois du point de vue géographique et parce qu'elle entretient de bonnes relations avec l'ensemble des pays du nord et du sud de la Méditerranée, dit-on à Paris. A propos de l'UPM, les tunisiens ont déjà avancé qu'ils ne souhaitent pas se voire réécouter une "resucée" Barcelone... Pour les rassurer Nicolas Sarkozy a plaidé hier (dans une interview à la presse tunisienne) : «Il faut que notre partenariat soit le fruit d'un véritable dialogue Nord-Sud et non un concept imposé au Sud par le Nord»...

Accompagné de son épouse Carla Bruni, Nicola Sarkozy (contrairement à l'habitude des chefs d'Etat qui séjournent dans des palais de la Banlieu nord de la Capitale) s'installera à la Renaissance Hôtel à Gammarth (Banlieue Nord de la capitale) ; un hôtel de luxe qui abrite une station de thalassothérapie.
PS.: La France est le premier client de la Tunisie et son premier fournisseur. En 2007, le commerce bilatéral - favorable à la Tunisie - a atteint un niveau record de 7 milliards d'euros. Fait notable au regard de la taille réduite de sa population (10 millions d'habitants), la Tunisie entretient avec la France les rapports les plus denses de la région. On compte deux fois plus d'entreprises françaises en Tunisie qu'au Maroc, et trois fois plus qu'en Algérie. Outre le projet UPM, lors de cette visite, M. Sarkozy espère obtenir la vente d'avions Airbus à Tunis Air et la fourniture par le groupe Alstom d'équipements pour une centrale thermique (pour 300 millions d'euros, l'allemand Siemens est déjà en belle avance sur ce projet de taille). Un accord-cadre de partenariat sur le nucléaire devrait aussi être paraphé, semblable à ceux conclus par la France avec le Maroc, l'Algérie et la Libye, ouvrant la voie, à terme, à la fourniture d'une centrale nucléaire (les tunisiens ont planifié le projet pour 2020; mais il estiment qu'une Mega Centrale à la Française dépasse de loin leurs besoins). L'Agence française du développement signera sept conventions de financement pour une valeur de 140 millions d'euros. La Caisse d'Epargne doit signer de son côté avec la Banque tuniso-koweïtienne (BTK), récemment privatisée, un accord sur des produits d'épargne destinés aux 600.000 ressortissants tunisiens vivant en France, dit-on de source française.

L'iPhone en demi échec en France

Le dernier joujou d’Apple, vendu à 399 Euros en France, s’écoule mal. Orange, qui a déployé de grands moyens pour réussir à décrocher la commercialisation exclusive du gadget de la communauté-branchés, a dû revoire à la baisse ses prétentions initiales : L’objectif de vendre 100000 exzemplaires à fin Décembre 2007 n’avait pas pu être atteint et ce malgré l’effet cadeaux de Noel. « Le géant Californien a vendu beaucoup moins de son produit phare qu’espérait en Europe et souhaite que les opérateurs mobiles qui distribuent ce mobile sur le Vieux Continent le subventionnent » ; ainsi Steve Jobs, le Patron de la firme Califorienne, apparaît prêt à changer sa politique commerciale. Du coup, le gadget incontournable des ados branchés est susceptible de s’aligner au reste des terminaux mobiles du marché dont la majorité est vendue à moins de 29 Euros grâce aux subventions des providers. Orange, veut plus que ça : des contreparties ; en occurrence la baisse, voire l’abandon pur et simple du reversement des recettes de communication que fait l’opérateur français à Apple pour chaque appel (ces versement peuvent atteindre la barre des 30%). Dans ce sens, deux responsables de haut niveau d’Orange (précisement le directeur exécutif et le directeur commercial de l’opérateur) se sont rendus la semaine dernière aux Etats-Unis ; objectif de la mission renégocier les clauses du contrat qui lie l’opérateur à l’équimentier ; et pourtant, ils niaient l’existence de cet impasse commercial et cet échec de RIO : « tout se passe très bien ! ». La France est à priori en voix de s’aligner à l’Allemagne et la Grande-Bretagne où T-Mobile et O2 ont déjà annoncé d’importantes baisses de prix de façon à offrir l’iphone à moins de 100 euros (grâce aux subventions). L’enjeux est de taille pour la firme Califorienne : ses responsables comptgait écouler 10 millions d’exemplaire avant la fin de 2008 ; alors que les vente ont à peine atteint 4 millions dont 100000 exemplaire en France par Orange et ce malgré l’effet fête de fin d’année aidant et la saga cacaphonique qui a accompagné le lancement de l’iphone. Désormais, l’iphone jusqu’à nouvel ordre est en demi-échec en France ! Enumérons les raisons :
- la cible ado est dore et déjà bien équipée en terminaux Média : ipod, archos…
- la cible pro est plutôt orienté Htc, glofish surtout avec le lancement des forfaits data illimités par les opérateurs concurrents d’Orange
- le prix élevé de l’iphone
- la culture : ce qui réussit aux Etats-Unis ne réussit pas de la même façon en Europe ; plusieurs sont les exemples qui en témoignent
La prochaine station de l’iphone : l’Italie, un pays dont la physionomie est similaire à celle de la France. Wait and See !
